Terms and Conditions for Alerto SOS

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the products, services, website, mobile applications, and support (collectively the "Services") provided by AIDIFY ("we," "us," or "our"). By using the Services, you agree to be bound by these Terms. Please read them carefully.

2. Eligibility and Account Creation

• Our Services are intended for individual or business users legally capable of entering into binding contracts.
• Users under legal age require parental or guardian consent.
• You agree to provide accurate, complete, and timely information during account registration and to keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorized use of your account.

3. License to Use Services

You are granted a limited, non-exclusive, revocable, non-transferable license to use our Services, subject to compliance with these Terms. Ownership of all intellectual property rights in the Services remains with AIDIFY and/or its licensors.

You may not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or services obtained from the Services.
• Reverse engineer, decompile, or disassemble any aspect of the Services.
• Remove any copyright, trademark, or other proprietary notices from the Services.

4. User Content and Feedback

• You are responsible for any content you submit, including its accuracy and legality.
• You represent and warrant that you own or have the necessary rights to submit your content.
• By submitting content or feedback, you grant us a royalty-free, worldwide, perpetual, irrevocable, sublicensable license to use, modify, reproduce, distribute, and display it for the purposes of operating and improving our Services.
• We reserve the right to review, monitor, and remove any user-submitted content at our discretion.
• You agree not to submit content that is illegal, offensive, defamatory, or infringes on the rights of others.

5. Intellectual Property & Trademarks

All copyrights, trademarks, service marks, logos, and content on the Services are owned by AIDIFY or its licensors. The "Alerto" name and logo are trademarks of AIDIFY. Unauthorized use — including copying, modifying, distributing, or displaying — is strictly prohibited and may result in legal action.

6. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws or regulations.
• Infringe on the intellectual property rights of others.
• Transmit viruses, malware, or other harmful code.
• Engage in fraudulent, deceptive, or misleading practices.
• Harass, threaten, or intimidate others.
• Collect or store personal data about other users without their consent.
• Interfere with or disrupt the Services or servers/networks connected to the Services.
• Trigger false SOS alerts or misuse emergency features.

7. Subscription and Payment Terms

• Subscription Plans: Alerto SOS offers various subscription plans with different features and pricing. Details are available on our website and in the app.
• Payment: Subscription fees are billed in advance on a recurring basis (monthly, annually, etc.) and are non-refundable except as required by law.
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
• Price Changes: We reserve the right to modify subscription fees with at least 30 days' notice. Continued use after price changes constitutes acceptance.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period.

8. Third-Party Services and Links

Our Services may integrate with or link to third-party websites, applications, or services (e.g., payment processors, Google Drive, mapping services, analytics providers). We do not endorse or assume responsibility for any content, policies, practices, or actions of these third parties. Your use of third-party services is subject to their respective terms and privacy policies.

9. Disclaimers & Limitation of Liability

Disclaimer of Warranties:

• OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND — EXPRESS OR IMPLIED — including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that access will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
• We do not guarantee that SOS alerts will reach emergency contacts in all circumstances, particularly in areas with poor network connectivity.
• We do not guarantee the accuracy, completeness, or reliability of any content or data in the Services.

Limitation of Liability:

• To the fullest extent permitted by law, AIDIFY and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.
• Our total liability to you for all claims arising out of or relating to the Services shall not exceed the amount paid by you for our Services in the past six (6) months, or INR 5,000 (whichever is less).

10. Indemnification

You agree to indemnify, defend, and hold harmless AIDIFY and its affiliates, officers, directors, employees, agents, and licensors from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms;
• Your use or misuse of the Services;
• Your submission of content that infringes on the rights of others or violates applicable laws;
• Your breach of any representation or warranty contained herein.

11. Data Protection and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

12. Modifications and Termination

Modifications:

• We reserve the right to modify, suspend, or discontinue any aspect of our Services or these Terms at any time, with or without notice.
• Material changes to these Terms will be posted on our platform and may be communicated via email.
• Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

Termination:

• We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.
• Upon termination, your right to use the Services will cease immediately.
• You may terminate your account at any time by contacting us or through account settings in the app.

13. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of Maharashtra, India.

Dispute Resolution:

• Any disputes shall be resolved through binding arbitration in Pune, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996.
• The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties.
• The decision of the arbitrator shall be final and binding on both parties.
• You agree to waive any right to participate in class actions or class arbitrations.

Jurisdiction: Subject to the arbitration clause above, you agree to submit to the exclusive jurisdiction of courts in Pune, Maharashtra, India.

14. Severability & Waiver

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15. Force Majeure

We are not liable for any delays or failures in performance due to causes beyond our reasonable control, including but not limited to:

• Natural disasters (earthquakes, floods, fires, etc.)
• Government actions, laws, or regulations
• War, terrorism, or civil unrest
• Technical failures, power outages, or internet disruptions
• Pandemics or health emergencies

16. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a government embargo or listed on any government list of prohibited or restricted parties.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and AIDIFY regarding the Services and supersede all prior agreements and understandings.

18. Assignment

You may not assign or transfer these Terms or your rights without our prior written consent. We may assign or transfer these Terms without restriction. Any attempted assignment in violation of this section shall be void.
